1. Definition

These terms and conditions (the "Terms") set out your rights and obligations, and those of Badgemaster Limited ("Badgemaster" or "we” or “the seller”), in relation to this website www.badgemaster.co.uk (the "Website") and other website domains linked to this and any Badgemaster application that you access and any products, services and material of any kind available through the Website or from Badgemaster.

“The Buyer” or ‘Customer’ or ‘User’ shall mean the person, firm or body corporate or unincorporate contracting with the Seller whether as agent or not and if contracting as agent then the agent shall be deemed to include the principal of such agent.

The ‘products’ or ‘goods’ shall mean all items sold by the Seller pursuant to the Contract with the Buyer or Customer

The “Contract” means the contract for the purchase and sale of the products or goods

2. Accessing our service

By registering with Badgemaster you accept that you are entering into a Contract with us under these Terms. People who register with Badgemaster establish an "Account", and become "Users". To place sales orders for products with us you “the Buyer” will need to provide the requested minimum information when you checkout such as payment address details and delivery address details in order to contract with us the Seller for the purchase of the products.

Visitors to the Website who do not register with Badgemaster but who nevertheless use the Site affirm that they are bound by these Terms each time they access the Website.

You will be able to access most areas of www.badgemaster.co.uk without registering your details with us.
To access specific areas within the website you must register as a user and as a registered user it is easier for you to reorder products from us.

All orders placed are subject to acceptance by the Company.

You should be aware that these Terms may change from time to time.

4. Product Description, Specification, Reproduction quality

We use our reasonable endeavour to ensure that each product listed on the website is described and displayed accurately.

Products featured may display different characteristics when viewed on different devices. Images and colours displayed on the website are indicative only as different devices display colours in different ways and they may not be a true representation of the actual colour to be supplied.

Badgemaster will match customers colour specifications as closely as possible using the standard range of materials available. Whilst Badgemaster will endeavour to match the colours requested we cannot guarantee to reproduce to exact colour specification.

In order to maintain a policy of continuous improvement Badgemaster reserves the right to alter specifications when we deem it necessary without notice.

5. Infringement of Third Party Rights

The customer guarantees the ownership of the design and/or copyright and indemnifies Badgemaster for all costs arising from any breach of design and/or copyright.

6. Origination, Fonts, Artwork

Any dies, film, screens, moulds or other items required to produce personalised (custom) made goods remain the property of Badgemaster regardless of any financial contribution towards the production costs of these made by the customer.

Where the customer specifies a particular font (non- website orders or uploads via the website) to be used for engraving Badgemaster will endeavour to use that font however where that is not possible we will use the nearest match of engraving font available we cannot guarantee to engrave fonts to an exact specification. Sample fonts are available on request. For website orders we will use the font selected from the list of fonts displayed as available.

All prices are based upon the customer supplying suitable artwork. An artwork service is available for which a nominal charge may apply.

All Intellectual Property including the design and artwork we create for you remains our property. You may not reproduce such work without our permission.

7. Use of Customer Logo for Promotional Purposes

Products manufactured or supplied by Badgemaster may be used for advertising, displaying or other sales promotional activities. Any customer not wishing their logo to be used should notify the Company in writing.

8. Delivery

The quoted delivery time is approximate. Badgemaster shall not be liable for any consequences arising from any reasonable delays for whatever reason.

The Buyer must advise the Company of any faults, errors or shortages within 3 days of delivery.

9. Prices

All price quoted will be subject to VAT at the prevailing rate at the time of delivery. All transactions will be subject to charges for packaging and delivery unless otherwise stated. All goods are supplied subject to the price ruling at time of delivery.

10. Terms of Payment

For customers with an account and approved credit terms, payment of invoices shall be due not more than 30 days from date of delivery. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to agreed credit terms.

11. Retention of Title

Full legal title resides with Badgemaster until payment is received in full.

12. Warranty

Badgemaster can only accept liability for spelling errors if the information originally supplied was in a suitable hard copy, typewritten format or digital file. No liability can be accepted for any verbal orders or hand written orders received

Any claim for faulty workmanship must be submitted to the Company within 30 days of delivery.

In all cases, no claim for replacement can be made without the return of the original item

13. Placing Your Order on the website

A contract for the purchase of a product is created as follows:

  • The User places the order on the website by clicking an order confirmation button during the checkout phase. If the product ordered includes content designed or uploaded by the user it is a "personalised product"; if it is a product which does not contain content designed or uploaded by the user it is a "non-personalised standard product"
  • By confirming your order, you are agreeing to purchase the product you have selected
  • After confirmation of the order you select your nominated payment method and we take payment
  • We will send you an order acknowledgement by email detailing your order, and other relevant information

We may reject an order for the following reasons:

a. Where we cannot obtain authorisation for your payment
b. If, unfortunately, we do not have your chosen product in stock
c. If there has been a relevant pricing or product description error
d. If your order otherwise breaches any of the requirements of these Terms
e. If the images uploaded by you for a personalised product are corrupted, unsupported technically or not of sufficient quality
f. If a personalised product you wish to order contains anything which contravenes, or appears to contravene, our Content Rules
g. We suspect that the order has been placed fraudulently
h. It appears that the order mistakenly duplicates another order
If your order is rejected, we will contact you to confirm this and reverse the payment you have made for that order.

There are limited circumstances in which you may cancel an order after it has been made.
Note that we may bar or prevent an individual Account, User, email address or other identifier from making purchases or otherwise interacting with us where we reasonably suspect an association with fraud or other infringements of the law.

Order processing and contacting you usually takes place via e-mail and automated order processing. It is the Users responsibility to ensure that the e-mail address provided for the order processing is accurate so that e-mails sent by Badgemaster can be received at this address. Particularly, it is the Users responsibility, if SPAM filters are used, to ensure that all e-mails sent by Badgemaster or by third parties commissioned by Badgemaster can be delivered.

All orders placed are subject to acceptance by the Company.

If you do not agree to these Terms, you must not use this website.

14. Personalising (Customising) your products

Badgemaster aims to provide you with a high quality product and a speedy and efficient manufacturing and order process.

Please check your order on screen to check that all the details are correct before you confirm the order and before you make payment. You should ensure that the content you have created or uploaded for inclusion in a personalised product is correct, and (for example) is correctly spelt. Once your order has been confirmed and has entered into our manufacturing process orders for personalised (customised) products cannot be changed.

It is your responsibility to ensure the order is correct however if after confirming your order you notice any mistakes please use our contact form or contact our customer service team immediately by e-mail or tel. +44 (0)1623 723112, our standard opening hours are 8:30 am to 5:00 pm Monday to Friday UK time (excluding public holidays in England)

If you are uploading a photo it must be in JPEG or PNG format. (For best results, we advise that you make the image dimensions approximately 1,000 pixels for the smallest edge of your photos). We print images at a minimum of 300DPI. If you try to upload a photo that has a lower resolution or image size, we may not accept it; however, an on-screen warning should appear to advise you that the image may not reproduce well on the selected personalised product.

If you are uploading other image files, logo or clip art we can accept a variety of formats, the minimum resolution should be 300 DPI.

By uploading, posting, contributing or including any content or material in a personalised product, you grant us a non-exclusive, royalty-free, irrevocable licence (including the right to grant sub-licences through multiple tiers) to use, reproduce, adapt, distribute and communicate to the public that content or material solely for the purpose of performing obligations and exercising rights under these Terms. Note that we may modify content or material in order to conform it to Badgemaster or the requirements of the product you have ordered (for example cropping images).

15. Ordering multiple products

When ordering multiple products on the same order Badgemaster reserves the right to decide whether to hold the order until all products are ready for delivery or to send the products in more than one delivery either on the same day or different days.

16. Content Rules

We do not permit personalised products to include any content or material which:

  • infringes anyone's copyright: in particular, you must ensure that you either own the copyright in an image or any other content that you wish to include in a personalised product or that you are fully licensed by the copyright owner to include that image or other content in the personalised product
  • infringes any other rights, such as a trade mark, of any person or entity or a duty owed to any person or entity, such as a duty of confidentiality
  • contravenes any applicable law (including, without limitation, any criminal law) or regulation
  • is false, inaccurate, misleading, offensive, abusive, threatening or defamatory, or that might cause needless annoyance, inconvenience or distress to any person
  • misrepresents identity or impersonates any person
  • includes any material containing personally identifying information about another person, such as their address, phone number, or email address, except with the written approval of that person
  • contains material which is pornographic, obscene, indecent or offensive, which promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, or that may incite hatred or violence against any person or group
  • may harass, upset, embarrass or alarm any person
  • gives the impression that it emanates from or has been approved by us
  • advocates, promotes or assists any unlawful act

The customer guarantees the ownership of the design and/or copyright and indemnifies Badgemaster for all costs arising from any breach of design and/or copyright.

17. Payment

On the Badgemaster website you pay for your products on each order when you checkout using our nominated payment gateway using credit cards or other digital payment solutions which are made available to you from time to time. For detailed payment terms and conditions please refer to the terms and conditions of the payment provider.

Badgemaster does not hold any details of your payment cards.

Your full payment card details are not recorded or stored on our database. Badgemaster collects and stores only the final four numbers of your credit or debit card along with the expiry date and cardholder name to enable you to select that card when making future purchases. They are encrypted and are transferred securely to one or more third party payment service providers for immediate authorisation. Once we have received authorisation from the payment service provider we will confirm your order.

You can apply for a credit account via our contact form, emailing customerservices@badgemaster.co.uk or by tel. on +44 (0) 1623 723112. If you have a credit account and have already registered on the website you can reorder products on the website and you will receive an invoice from us by e-mail and you should send payment to us according to your normal payments terms.

When payments are made using a payment method offered by PayPal, handling of payments takes place via the payment service provider PayPal ((Europe) S.a. r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter called “PayPal”) subject to the PayPal terms of use which can be viewed at: https://www.paypal.com/uk/webapps/mpp/ua/useragreement-full?locale.x=en_GB

18. Manufacturing Lead Times

Personalised (customised) products have an average manufacturing lead time of between 3 to 8 days and we will endeavour to despatch your products according to the despatch method ordered and paid for as soon as product manufacture is complete. We reserve the right to take longer than 3 to 8 days to manufacture the products ordered. For any urgent orders or orders that require delivery on specific days please contact us prior to confirming the order and we will be happy to quote you a guaranteed lead time and despatch date.

19. Postage and packaging charges

For most items, prices are shown exclusive of postage and packaging charges; these will be shown separately at the checkout stage before you place your order. In some cases, the prices shown may include postage and packaging. If this is the case this will be clearly stated.

20. Import regulations and duty

If you order goods from our Website for delivery outside the UK, they may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.

If you do not supply us with your VAT number we will have to charge you VAT at the prevailing rate in the UK to conform to UK regulations.

21. VAT Receipts

In most cases your order confirmation email contains all the necessary information to constitute a simplified VAT receipt in line with the HMRC guidelines. However, should you require a Full VAT invoice you can request this via our contact form here. Please allow up to 10 working days for the full VAT invoice to be sent.

22. Returns and refunds, right to cancel

22.1 In the unlikely event that a product is faulty, or it is damaged in delivery or is the wrong item, we ask you to contact us to let us know of the problem as soon as possible but no later than 3 days after receipt.
Any claim for faulty workmanship must be submitted to the company in writing within 30 days of delivery.

22.2 Personalised (customised) products

For personalised products where an item is faulty, we will ask you to notify us within three days after receipt. Please contact us or email customerservices@badgemaster.co.uk or telephone +44 (0)1623 723112 our Customer Service Team for details on how to return a product and to check your eligibility for a refund

Your right to return items to us in accordance with these Terms is in addition to any other statutory rights you may have.

If you are eligible for a refund, we will reimburse the price you have paid for the product(s) onto the credit or debit card that you paid with. Alternatively, we may offer to reproduce (if applicable) and resend the item free of charge.

Refunds cannot be given if the fault is a result of your own actions such as product misuse or if personalisation is mis-spelt or if you have uploaded an image of a low resolution or size.

22.3 Standard non-personalised products

Some of the products you can buy from us, (as long as they are not modified to your requirements), are standard non-personalised. You have the right to cancel your contract for the purchase of a standard non-personalised product, provided you notify us of the cancellation – either by calling us or using our contact form – no longer than 14 days after the day following the day on which the product is delivered. You must return the unused non-personalised product to us within 14 days of notifying us of the cancellation, and must pay the cost of returning the product to our nominated address. We will refund the purchase price you have paid for the product and its standard delivery charges (but not any expedited, tracked or other special delivery charges you may have chosen to pay) within 14 days of its return. However, if the value of the product has been reduced by any handling of it beyond what is necessary to check whether the product is as expected, we may deduct an amount to reflect that reduction in value from the sum we refund to you. Note that the value of a product may be reduced to nothing if its seal (or similar) is broken. Please follow any returns procedure for standard non-personalised products which we specify from time to time.

The right to cancel is excluded for contracts for the supply of goods that are made to the User’s specifications that are clearly personalised. The right to cancel does not apply for Users who, at the time of concluding the contract, are not nationals of a member state of the European Union and whose exclusive residence and address of delivery are located outside of the European Union

23 Circumstances Beyond Our Control (Force Majeure)

Neither we, nor any delivery service that we use, shall be liable for any failure to perform Services where such failure or delay results from any circumstances outside our reasonable control; these circumstances include but are not limited to adverse weather conditions (such as snow, flood and extreme winds), fire, explosion, accident, traffic congestion, obstruction of any private or public highway, riot, terrorism, act of God, or industrial dispute or strike.

24 Reporting a problem

If for any reason you are not happy with any aspect of the service from Badgemaster, please contact our Customer Service Team by Tel. +44 (0)1623 723112, (our standard opening hours are 8:30 am to 5:00 pm Monday to Friday UK time, excluding public holidays in England) or use our contact form, or email customerservices@badgemaster.co.uk. You will need to quote your order number, the email address you have registered, the details of the problem with the order or the details of the complaint that you wish to raise.

We aim to acknowledge any complaint within 14 working days (usually it takes 1-2 days), and will do our best to resolve it within 28 days.

If you have made a complaint and have exhausted all of the dispute resolution options available to you, the European 'Online Dispute Resolution Platform' can be accessed by following the link: http://ec.europa.eu/odr

25 Privacy Policy

Our website includes areas where you are requested to provide information about yourself. Any personal data you provide to us through our website shall be subject to the terms of our Privacy Policy which also forms part of these terms.

26 Cookie Policy

We use cookies on our website (which are small text files which allows our website to "remember" who you are). Further information about cookies, how we use them to store and access information about you and how you can choose to reject cookies can be found in our Privacy and data collection statement.

27 Use of the Website

27.1 Abuse of service

You agree not to use Badgemaster and the website directly or indirectly for any unlawful purpose, or to cause distress or offence to any person. You also agree not to upload, email to us or print any images or other material which might infringe our Content Rules

27.2 Intellectual Property

All text, software, music, sound, photographs, graphics, video, page layouts, design and other material that appears on the Website is protected by Badgemaster’s or third party copyrights, trade marks, service marks, patents or other proprietary rights and laws. "Badgemaster" is our registered trademark, and you agree not to display or use it in any manner without our prior written consent.

Badgemaster own various trade marks and registered trade marks (the "marks"), a list of which can be obtained from us. You may not use those marks, and/or any third party trade marks that appear on our website, other than as permitted by express written licence from the licensor or by law.

You may use and access the website to the extent required for the use of the Services in accordance with these Terms, and for the purpose that we make them available. You are not allowed to remove any copyright, trade mark or other intellectual property notices contained in material taken from the website.

No-one may copy, distribute, show in public or create any derivative work from the website, or any of the material which is found on the website unless properly licensed in writing by us to do so. You are not allowed to use the website (or to copy or use any material found on the website) for any commercial purpose other than to conduct the purchase of a product from Badgemaster.

In particular, but without limit, you may not use the marks as meta-tags and you may not sponsor them in search engines. All goodwill in your legitimate use of the marks shall accrue to Badgemaster Ltd. Please notify us immediately if you become aware of any infringement of the marks.

We or our licensors own all other intellectual property rights in our website.

The design and content of our website, and the material published on it, is protected by copyright and is owned by us (©2018) and our licensors. All rights are reserved.

No-one may use any robot, spider, scraper or other automated means to access www.badgemaster.co.uk for any purpose without our prior express written permission.

27.3 Website content and service access

We will always try to ensure that the website is available 24 hours a day. However, we will not be liable if for any reason the Website is unavailable at any time, or for any period.

27.4 Links

Occasionally, we may provide links to other websites or resources for your convenience. We do not endorse the contents of those websites and are not responsible for their availability or service. We will not be liable in any way for any loss or damage which you may suffer by using those websites. If you decide to access linked third party websites you do so at your own risk.

27.5 Misuse

You must not misuse our Website or any part of the Service by introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site, the server on which our Website is stored or any server, computer or database connected to our Site. You must not attack our Website via a denial-of-service attack or a distributed denial-of-service attack.

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site will cease immediately.

27.6 Liability

We use reasonable care and skill to provide ‘the Website’ in accordance with our specifications for Badgemaster but:

  • the Services are provided "as is"
  • we cannot and do not guarantee that the Website or the Services will meet your requirements

We shall have no obligation, duty or liability whatsoever in contract, tort (including negligence, breach of statutory duty and any other tort) or otherwise, save as expressly provided in these Terms.

Nothing in these Terms excludes or restricts our liability for fraudulent misrepresentation or for death or personal injury resulting from our negligence, nor our contractual obligations in respect of products we agree to supply following our acceptance of your order. We are under a legal duty to supply goods which conform to our contract with the User.

We, our agents, directors, officers, shareholders, employees and subcontractors will not be liable to you or anyone else, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise:

  • for any loss of revenue, data, business, anticipated savings, profits, opportunity, goodwill or reputation, or for any business interruption
  • any loss or corruption of data
  • any loss or damage which does not directly result from (or which exceeds that which was caused as a direct result of) our breach of this Agreement, howsoever caused or arising

Except as expressly stated elsewhere in these Terms, all representations, warranties, conditions and other terms, whether express or implied (by common law, statute, collaterally or otherwise) are hereby excluded, except in the case of fraud, or where such exclusion is not permitted by law.

We will not be liable for any failure to perform our obligations under these Terms caused by matters beyond our reasonable control.

You agree to indemnify us fully, defend and hold us, and our officers, directors, employees and agents, harmless from and against all claims, liability, damages, losses, costs (including reasonable legal fees) arising out of any breach of the Terms by you, your use of the Website or App, or anything done while your Account is logged into the Website or App.

The provisions of this section shall survive the termination or expiry of these Terms.

27.7 Suspension

We reserve the right at any time and without notice (a) to suspend or terminate your ability to access the Website, (b) to suspend or terminate your use of all or part of the Services and/or any then-current orders for products, and/or (c) to take technical and legal steps to stop you from using the Website if you appear to us to be in breach of any provision of these Terms. Should we do so, you acknowledge that we shall not incur any liability to you or to any other person.

In addition, we are entitled to suspend provision of all or part of the Services at any time if we are obliged or advised to comply with an order, instruction or request of any limb of government, or any regulator, court or other competent authority.

27.8 Contact from third parties

If anyone contacts us in relation to your or your Account's use of the Website or a transaction associated with you or your Account, then you agree:

  • to provide all reasonable information and assistance we may require in connection with responding to that contact
  • to respond promptly and accurately to it, should we pass the message to you for a response

28 General

These Terms are intended to contain your entire agreement with us relating to the Services and the Website

If any of these Terms is found to be invalid this shall not affect the validity of the remaining provisions which shall remain fully enforceable. Our failure to act with respect to a breach of these Terms by you or others does not waive our right to act with respect to subsequent or similar breaches.

Only you and Badgemastger shall be entitled to enforce these Terms. No third party shall be entitled to enforce any of these Terms whether by virtue of the Contracts (Rights of Third Parties) Act 1999 or otherwise.

We reserve the right to change these Terms from time to time, and post the new version on the Website. The new version of these Terms will take effect:

  • commencing 28 days after the date of posting (or such later date as we indicate in the relevant posting), if any of the changes is to an operative provision of these Terms which is capable of adversely affecting you
  • immediately upon the date of posting (or such later date as we indicate in the relevant posting), if the changes are not reasonably capable of adversely affecting you - examples of which would include, without limitation, (i) changing the name of, and/or the web-address that you use to access, Badgemaster, and (ii) the refinement of provisions that are already included or referred to in these Terms

In either case, if you do not wish to be governed by the new version of these Terms, you must cease to use the Services and the Website. For the avoidance of doubt, we will not have any liability to you in that event.
These Terms, the Services and each order and purchase of a product shall be governed by English law.

You and we each submit to the non-exclusive jurisdiction of the English courts in relation to disputes arising in connection with these Terms, the Services and any order for or purchase of a product.

We don't separately file the Terms entered into by Users when they register for the Website. Please make a durable copy of these Terms by printing and/or saving a downloaded copy on your own computer. They are offered in English only.

29 Badgemaster Reviews terms of use

By submitting a review on the Website or any review service directly approved by Badgemaster, you confirm and agree that:

  • You are the sole author of the review – none of it has been copied from elsewhere;
  • Your review is accurate and fair;
  • You are at least 18 years old; and
  • You grant Badgemaster a perpetual, irrevocable, royalty-free, transferable right and licence to use, copy and modify your review.

You also agree you will not submit a review:

  • That is known by you to be false, inaccurate or misleading;
  • That infringes anyone’s copyright, trade mark or other proprietary rights, or a duty owed to any person or entity, such as a duty of confidentiality;
  • That breaches any applicable law, or that advocates, promotes or assists any unlawful act
  • That is, or may reasonably be considered to be, offensive, abusive, threatening or defamatory;
  • That promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, or that may incite hatred or violence against any person or group
  • For which you were compensated or granted any consideration by any third party;
  • That references any other website or service;
  • That misrepresents identity or impersonates any person;
  • That includes any personally identifying information about any person, such as their name, address, phone number, or email address;
  • That is pornographic, obscene or indecent;
  • That may harass, upset, embarrass or alarm any person; or
  • That comments on any other reviewer

Badgemaster reserves the right, in its absolute discretion, to:

  • Decline to publish a review; and
  • Remove a review for any reason
